1. Introduction
This Content License Agreement (“Agreement”) is between you (“Member”, “you”, or “your”) and Perpeta (“Perpeta”, "its", “we”, “our”, or “us”) regarding the use of all data in the Perpeta Service ("Perpeta", or "Service"), including but not limited to text, data, snippets, profiles, items, prompts, workflows, tags, and templates, whether derived from free or paid collections (“Content”). By using any Content from Perpeta, or importing or exporting any Content from Perpeta, you agree to be bound by the terms of this Agreement, the Perpeta Privacy Policy, the Perepta Acceptable Use Policy, and the Perpeta Terms of Use. Capitalized terms that are not defined in this Agreeement have the meaning given to them in the Perpeta Terms of Use. If you do not agree with these terms, please do not use Perpeta.
Perpeta reserves the right to cancel or modify the licenses granted by this Agreement and to replace the Content with alternatives. If Perpeta Content includes both Free and Paid Content, the terms for Paid Content will apply.
All Content on Perpeta is protected by United States and international copyright laws. Perpeta and its contributors reserve all rights not explicitly granted to you under this Agreement, including all copyright and intellectual property rights.
2. Free Content License
Under this Agreement, Perpeta grants you a perpetual, non-exclusive, non-transferable (subject to Section 4) worldwide license to use Free Content for the purposes defined in Sections 5 and 6 below (“Free Content License”).
3. Paid Content License
Under this Agreement, Perpeta grants you a perpetual, non-exclusive, non-transferable (subject to Section 4) worldwide license to use Paid Content for the purposes defined in Sections 5 and 6 below (“Paid Content License”). You may not copy, download, or distribute Paid Content as a standalone item.
4. Transfer Rights for Client Prompts
You may transfer Perpeta Content (Free or Paid) to a client for the client’s personal use, under the following conditions:
- You must enter into a written agreement with your client stipulating that their use of the Perpeta Content is solely for their personal use and must comply with the terms of this Agreement.
- You remain responsible and liable for ensuring your client’s compliance with these terms.
5. Permitted Uses of Content
Under this Agreement, Perpeta grants you the right to use Content for the following purposes:
Personal and Professional Projects
- Incorporate Content into personal or professional projects for internal use, such as creating customized workflows, automating tasks, and generating content for personal or team usage.
- Use Content to assist in content creation for websites, blogs, reports, presentations, or other work-related documents.
Client and Commercial Projects
- Develop and deliver solutions for clients, including content generation, chatbots, data analysis, or interactive tools, provided that these solutions do not involve the redistribution or resale of Paid Content as standalone products.
- Use Content to create marketing materials, including automated responses, customer support scripts, and personalized email campaigns.
Education and Research
- Use Content for academic purposes, including educational projects, research, thesis, and dissertations.
- Incorporate Content into educational tools or resources aimed at teaching AI, data analysis, or programming skills.
Training and Development
- Develop training materials or simulations using Content to train employees, clients, or students on specific workflows, scenarios, or systems.
- Use Content to create interactive tutorials or hands-on training modules.
Digital and Social Media Content
- Use Content to generate social media content, including posts, automated responses, engagement scripts, and interactive features for platforms such as Facebook, Twitter, LinkedIn, and Instagram.
- Develop chatbots or virtual assistants for social media accounts to enhance user engagement and provide real-time support.
Software and Application Development
- Use Content to develop enhanced functionality and user experience in software applications, mobile apps, or web-based platforms.
- Develop personalized user interfaces, dynamic content generation features, or automated processes within apps.
Publication and Media Production
- Use Content to assist in the creation of content for publications such as articles, newsletters, ebooks, and online magazines.
- Use Content in the production of interactive media, podcasts, or video productions to generate scripts, dialogue, or interactive elements.
Data Analysis and Reporting
- Use Content to automate data collection, analysis, and reporting processes.
- Generate dynamic reports, summaries, or insights based on data inputs, tailored to specific industries or use cases.
Personal Use
- Use Content for personal productivity tools, including note-taking, personal assistants, and daily task automation.
- Create customized personal content, such as personalized emails, messages, or reminders.
General Restrictions
- No Redistribution: You may not redistribute, resell, or make Paid Content available for others to download or use as standalone products.
- No Reverse Engineering: You may not reverse engineer or disassemble any source code or data contained in the Perpeta Service.
- No Misuse: Content may not be used in a way described in the “Prohibited Uses” section below, nor in a manner that would compete with Perpeta’s business or imply unauthorized affiliation or endorsement by Perpeta.
- Acceptable Use: Content must abide by the Perpeta Acceptable Use Policy
Compliance
- Attribution: Where applicable, provide attribution for Content when used in editorial or public-facing projects, as specified by Perpeta.
- Client Use: Ensure any transferred Perpeta Content to clients is used solely for their intended internal purposes and in accordance with this Agreement.
6. Prohibited Uses
You are prohibited from using any Free or Paid Content on Perpeta in the following ways:
- Sub-licensing, reselling, renting, leasing, distributing, offering in a service bureau, sublicensing, or otherwise transferring or distributing the Content or rights granted under this Agreement (subject to Section 4).
- Using Content as part of a trademark, design mark, trade name, business name, or service mark.
- Removing any copyright, trademark, or other proprietary notices from any Content.
- Using or displaying Content as a standalone item on websites or other venues designed to induce or involve the sale, license, or other distribution of “on demand” products.
- Using Content in a pornographic, obscene, immoral, infringing, defamatory, or libelous manner, or in a way that might bring any person or property depicted into disrepute.
- Using Content in a manner that suggests any illegal or immoral activities or conditions for any person depicted in the Content.
- Using Content in a way that competes with Perpeta’s business, including displaying content for download or export on other websites or offering content for sale.
- Using Content for editorial purposes without proper attribution.
- Incorporating Content into any product that allows redistribution or reuse or is otherwise accessible as an electronic file.
- Reverse engineering, decompiling, or disassembling any source code contained within the Content.
- Using or displaying Content in a format that enables it to be downloaded, exported, or distributed via mobile devices or shared in peer-to-peer or similar file-sharing arrangements.
- Using or displaying Content in a way that implies you or someone other than the copyright holder created the Content.
7. Infringement Claims
If you become aware of a claim of infringement regarding Content, you must immediately cease using the Content, remove or delete it from all locations, and notify Perpeta by emailing PerpetaPaul@perpeta.com. This obligation applies whether the claim is threatened, potential, or actual.
8. Disclaimers
- Releases may not have been obtained for Free Content, and legal protections may prevent the commercial use of a person’s image, likeness, or property without consent. You are responsible for determining if a release is necessary and for obtaining it.
- Perpeta does not guarantee the accuracy of metadata or categorization of Content.
By using Perpeta Content, you agree to be bound by the terms of this Content License Agreement.
